1. A REQUEST IS NOT A BOOKING
Sending the form on this site sends us a request. It does not reserve a studio, a date, a crew or a piece of equipment, and it does not create a contract.
This is how the system is actually built, not a disclaimer bolted on afterwards. The site takes requests; online payment is switched off; and nothing is shown to you as confirmed until the resources have been secured on our side and a member of staff has approved it. If a screen ever shows your session as confirmed, that is because those things have happened.
2. WHAT HAPPENS AFTER YOU SEND ONE
We read it, we come back to you on the channel you chose, and if the work needs pricing we send you a written quote. A quote is versioned: if we change it, you get a new version rather than an edited one, and you can see and respond to each version in your account.
[NELLA TO CONFIRM: how quickly NELLA undertakes to respond to a request, if at all. No response time is stated here, because none has been agreed and a service level nobody has committed to is a promise you would be held to.]
3. PRICES
A price is shown on this site only where operations has approved that exact version of that exact item. Everything else says "Pricing on request", which is the truth rather than a hedge. Prices shown in your account or on a quote are in the currency stated on that document.
[NELLA TO CONFIRM: whether prices are stated inclusive or exclusive of VAT and the Ghanaian levies, and whether NELLA is registered for VAT. Our tax configuration is deliberately recorded as unconfirmed and set to zero so that an unconfirmed rate cannot reach a customer total. An accountant has to settle this before any price is published.]
4. DEPOSITS AND PAYMENT
[NELLA TO CONFIRM: whether a deposit is required, how much it is or what percentage, and when it becomes payable. The booking form asks whether you are ready to pay a deposit; nothing in the system charges one, and no figure has been invented here.]
[NELLA TO CONFIRM: payment methods, payment terms, and what happens if an invoice is not paid on time.]
[NELLA TO CONFIRM: whether a deposit is applied to the final invoice, held as security, or both.]
5. WHAT IS INCLUDED IN A BOOKED SESSION
[NELLA TO CONFIRM: whether the booked time includes setup and breakdown or is shooting time only. This is the single most common source of dispute in studio hire and it must be stated explicitly.]
[NELLA TO CONFIRM: what a session includes as standard — which spaces, what power, what internet, what furniture, whether a technician is present — and what is chargeable in addition.]
[NELLA TO CONFIRM: the charge for running over the booked time, and the minimum increment it is charged in.]
6. CHANGES YOU MAKE
[NELLA TO CONFIRM: how far in advance a booking may be changed, and what a change costs. See the cancellation policy, which is also a draft and also unresolved.]
7. CHANGES WE MAKE
[NELLA TO CONFIRM: what NELLA offers if it has to move or cancel a booked session — a replacement slot, a refund, both, or something else — and whether that differs when the cause is outside NELLA's control.]
8. YOUR MATERIAL AND YOUR WORK
You keep ownership of what you bring and what you create. Nothing on this site transfers your copyright to us.
[NELLA TO CONFIRM: whether NELLA may use footage or stills of a session for its own marketing, and how a client opts out. Do not assume a licence. If you want one, it needs its own clear, separable permission, not a line buried here.]
[NELLA TO CONFIRM: how long NELLA keeps client media after delivery, who may download it, and when it is deleted. The system has fields for a retention date and a legal hold on stored files; no default period has been set.]
9. CONFIDENTIALITY
[NELLA TO CONFIRM: NELLA's confidentiality undertaking to clients, and whether an NDA is offered as standard or on request. The system records that an organisation requires an NDA; what NELLA promises in the absence of one has not been written.]
10. LIABILITY
[NELLA TO CONFIRM: NELLA's liability position — what it is responsible for, what it is not, and any cap. This is the clause that decides who pays when equipment fails, a shoot is lost or someone is hurt, and it must be drafted by a Ghanaian-qualified lawyer rather than adapted from a template written for another jurisdiction.]
[NELLA TO CONFIRM: whether clients are required to hold their own insurance, and for what.]
11. RULES ON SITE
Using the studios is subject to the acceptable use policy.
12. LAW AND DISPUTES
[NELLA TO CONFIRM: the governing law and how disputes are resolved. No governing-law clause and no arbitration clause has been written here, because inventing one is exactly the kind of plausible-looking text that survives review and then decides a case.]
13. CONSUMER RIGHTS
[NELLA TO CONFIRM: how Ghanaian consumer protection law applies to an individual — as opposed to a business — booking a studio, and which of the terms above it overrides.]
